 Board of Directors Meeting Minutes

February 19, 2007

I.                    The meeting was called to order at 7:07 P.M. at Bill Beach’s home.

II.                 The minutes of the January 8, 2007 and the September 18, 2006 Board of Directors meetings were distributed and approved.

III.               The Treasurer’s Report was approved as submitted.

IV.              OLD BUSINESS:

A.     President Arnold proposed a settlement payment to reimburse the Love’s for the remaining wall repair which they had originally funded.  The proposal was seconded and approved unanimously by the Board.  We expect proposals at our March meeting which should conclude our discussions with the Culpeppers and Mr. Hutchison.  The funding for the Arnolds’ and Riggins’ walls repairs should take place in 2008.

B.     Rick Barnes presented the Board with a detailed booklet explaining what his company, Nature Scapes,  is to perform in 2007 for our Association.  He also presented enhancement proposals for our front entrance, the pool area, the planted area in the island near Apsley Court and other areas.  He also presented an estimate to increase efforts to end our kudzu problem.

                    After much discussion, the motion was made and seconded and approved to add $ 160.00 per month to their
                    contract for aggressive kudzu control which brings their total contract to $ 46,500.00 for 2007.

                    In addition, Mr. Barnes agreed to lead a tour for Mr. Arnold, Mr. Beach, Mr. Rice and others who are interested
                    to visit the areas he is proposing to improve. The tour will be conducted on March 8, 2007 and we expect to
                    discuss further landscaping improvements at our March 12 Board meeting.

C.     Stasco Mechanical, Inc. had exposed two faulty zonal cut-off valves on Courtyards Drive across from Waverly Court.  Both were in a difficult place to repair because of gas and power lines.  Their recommendation was to abandon those two valves which were failed in the "open" position and install two new valves downstream from each.

      The pipe serving Waverly Court had been uncovered and was accessible.  The pipe extending up Apsley Court was
      not.  The Board voted to go ahead and add a valve on the Apsley Court leg because

  • it would be costly to uncover the exact location, and

  • damage to residents' property was unknown, and

  • it would only isolate four additional homes on Apsley Court

D.     On advice of our attorney and the fact that the Association would maintain the Smith's driveway/road, access to it by his neighbor would be left up to the two of them.

V.                 NEW BUSINESS:

A.     It was learned during the sale of one of our homes that common property near the pool encroached on the homeowner’s property.  Our attorney assured us that this problem could be handled at closing with the Association agreeing to execute a “Hold Harmless” indemnification clause on behalf of the new owners.  It is our belief that this has, in fact, taken place.

B.     We have had a report that vehicles tend to slide on at least two hills in our community when the pavement is wet and / or covered with leaves.  C & S Paving will look into the problem and make a recommendation which may include further seal coating of our streets.

C.     It was reported that one resident who was moving had had an Estate Sale against our Rules and Regulations and it resulted in heavy traffic / parking for several days.  It was the sense of the Board that a resident who is moving might be allowed to have an Estate Sale but Garage Sales or Yard Sales are not permitted.  Rules and Requirements to conduct such an Estate Sale should be drawn up and we expect a proposal at our March Board meeting.

D.     The Vinings Homeowners Association asked if our Association would consider making a contribution toward the capture of coyotes in our area.  Our Board decided that this should be contributions from individual homeowners who want to help.

E.      The next meeting will be held on March 12, 2007 at Lee Conn’s house at 7:00 P.M.
